InstaDate Terms of Service & User Agreement

For the purposes of this Agreement:

• "The Company," "we," "us," or "our" refers to InstaDateApp, its parent companies, subsidiaries, corporate structures, and its ultimate Owner(s), founders, officers, directors, employees, contractors, developers, architects, agents, partners, suppliers, successors, and all corporate or individual affiliates.
• "User" or "you" refers to any individual who creates an account, accesses, or uses the Service.
• All liability exclusions, disclaimers, waivers, security limitations, and indemnification protections provided to the Company under this Agreement apply equally, fully, and without limitation to the individual owner(s), software developers, system architects, and creators of the App.

You must be at least 18 years old to create an account or use InstaDate. By accessing or using the Service, you represent and warrant that:

• You are at least 18 years of age;
• You have the legal capacity to enter into a binding agreement under applicable law;
• You are not prohibited from using the Service under the laws of the United States or any other applicable jurisdiction;
• You have never been convicted of a felony or any crime involving violence, sexual misconduct, harassment, or fraud;
• You are not required to register as a sex offender with any local, state, national, or international registry;
• You have not been previously banned, suspended, or removed from InstaDate.

The Company reserves the absolute right to request formal age or identity verification (including government-issued ID checks) at any time. Failure to comply will result in immediate account termination.

You explicitly understand and agree that InstaDate is an online matching platform intended solely to facilitate communication between independent individuals.

To access features of the Service, you must register an account. You agree that:

• All information provided to us during registration and profile creation is accurate, truthful, and current.
• You are solely responsible for maintaining the confidentiality and security of your login credentials (passwords, tokens).
• You accept full responsibility and liability for all activities, messages, and transactions that occur under your account.
• You will not create multiple accounts for deceptive, fraudulent, or abusive purposes.
• You will not sell, rent, lease, share, or transfer your account or username to any third party.

The Company reserves the right to suspend, restrict, or terminate accounts immediately if any provided information is found to be false, misleading, or in violation of these Terms.

InstaDate is strictly intended for lawful social networking, personal matching, and dating purposes only. The platform maintains a zero-tolerance policy for commercial sex, illegal acts, safety violations, and exploitation.

• User Content Ownership: You retain intellectual property ownership of the original text, photos, videos, and messages you upload to your profile ("User Content").
• Grant of License: By posting or uploading User Content onto InstaDate, you grant the Company and its Owner a worldwide, royalty-free, perpetual, transferable, fully sublicensable, non-exclusive license to host, store, cache, copy, reproduce, modify, adapt, publicly display, publish, translate, distribute, and create derivative works from your User Content for operational, security, developmental, promotional, and marketing purposes across all media formats. This license survives the deletion of your account for a commercially reasonable period necessary for server backups and legal compliance.
• Representations: You represent and warrant that you own or possess all necessary rights and permissions to distribute your User Content, and that its publication does not violate the copyrights, trademarks, privacy rights, publicity rights, or legal rights of any third party.

• Premium Features: InstaDate may offer premium upgrades, subscriptions, in-app purchases, or virtual items. Prices are subject to change at any time at the sole discretion of the Company.
• No Refunds: ALL PURCHASES, SUBSCRIPTIONS, AND DIGITAL ACQUISITIONS ARE FINAL AND COMPLETELY NON-REFUNDABLE. No refunds or credits will be provided for partially used subscription periods, accidental purchases, or account terminations resulting from violations of these Terms, except where explicitly required by applicable local law.
• Auto-Renewal: Subscription services automatically renew at the end of each billing cycle. You authorize the applicable app store or payment processor to charge your stored payment method. You must cancel your subscription through your mobile app store settings (Apple App Store or Google Play Store) before the renewal date to avoid future billing.
• Third-Party Processing: Payment transactions are handled entirely by third-party platforms (Apple, Google, Stripe). The Company, its owners, and its developers are not responsible or liable for processing errors, fraudulent charges, or billing disputes caused by these third-party financial intermediaries.

THE SERVICE IS PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INSTADATE, ITS INDIVIDUAL OWNER(S), DEVELOPERS, AND PARTNERS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Any warranties regarding the accuracy, completeness, reliability, security, or availability of the App;
• Any warranties that the Service will be uninterrupted, error-free, secure, free of viruses, or operate continuously;
• And any guarantees of matches, relationships, compatibility, offline meetings, accurate user profile data, or satisfactory user conduct.

Third-Party Infrastructure and Framework: The Service relies fundamentally on third-party mobile frameworks, cloud hosting networks, communication APIs, and external software environments. The Company, its developers, and partners provide no warranties and assume zero liability for platform downtimes, architecture vulnerabilities, bugs embedded in third-party software codebases, framework update compatibility breaks, or any unilateral ecosystem actions taken by the Apple App Store or Google Play Store.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INSTADATE, ITS INDIVIDUAL OWNER(S), FOUNDERS, CORPORATE PARENTS, DIRECTORS, DEVELOPERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY FINANCIAL LOSSES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, REPUTATION, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Service;
• The conduct, communications, fraudulent claims, scams, harassment, or illegal acts of other users, whether online or offline;
• Any personal injury, physical assault, sexual misconduct, stalking, property damage, emotional distress, trauma, or wrongful death resulting from connections or meetings facilitated by the Service;
• Or unauthorized access, alteration, corruption, deletion, or leakage of your content, messages, or profile data.

No Liability for Data Breaches or Shared Information:

While the Company employs network protective protocols, you explicitly acknowledge that no digital transmission or data storage system is completely secure. The Company, its individual owner(s), developers, and partners expressively disclaim all liability for any unauthorized access, digital hacking, database leaks, cloud storage compromises, or the interception, theft, alteration, corruption, or public exposure of your personal data, private messages, geolocation information, or profile media.

Financial Liability Cap:

IN NO EVENT SHALL THE AGGREGATE, CUMULATIVE LIABILITY OF THE COMPANY, ITS DEVELOPERS, AND ITS OWNER TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED ONE HUNDRED U.S. DOLLARS ($100.00) OR THE EXACT AMOUNT PAID BY YOU TO INSTADATE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

You agree, to the maximum extent permitted by law, to defend, indemnify, and hold entirely harmless InstaDate, its individual Owner(s), software developers, system builders, parent companies, subsidiaries, officers, directors, employees, contractors, agents, and affiliates from and against any and all third-party claims, lawsuits, demands, damages, losses, liabilities, costs, and expenses—including reasonable attorney's fees and court costs—arising out of, resulting from, or in any way related to:

• Your access to, use of, or misuse of the Service;
• Your User Content (including photos, bio descriptions, and messages);
• Your conduct, interactions, or behavior with other users, whether digital or physical;
• Your explicit violation of these Terms, any applicable state, federal, or international law, or the intellectual property, privacy, or civil rights of any third party.

You acknowledge and agree that Apple, Inc. (Apple App Store) and Google, LLC (Google Play Store) are explicit third-party beneficiaries of these Terms and possess the legal right to enforce these Terms directly against you.

• Severability: If any provision is found unenforceable, it shall be severed, and the remaining provisions shall continue in full force.
• Entire Agreement: These Terms, along with the InstaDate Privacy Policy, constitute the entire, complete, and final legal agreement between you and the Company.
• No Waiver: The failure to enforce any provision shall not constitute a waiver of future enforcement rights.
• Reservation of Rights: All rights not explicitly granted are strictly reserved by the Company.
